What We Can Learn From AT&T's $20 Billion Loan: How Small and Mid Cap Lending Options Can Mirror Large Cap Deals 

AT&T’s $39 billion bid for T-Mobile has given way to the world's largest deal to emerge since the financial crisis. According to a regulatory filing, JPMorgan Chase offered a $20 billion one-year bridge loan in support of AT&T’s effort to acquire T-Mobile, thus creating the largest wireless carrier in the nation. JPMorgan gave the telecom giant an 18-month commitment on the unsecured loan. The $20 billion commitment ranks as the No. 2 bridge loan offered worldwide since 2000, second only to Pfizer’s $22.5 billion financing obtained through the bond market in 2009, according to Thomson Reuters.

The recent New York Times article JPMorgan, the Lender Behind the T-Mobile Deal explores how the Wall Street giant not only advised AT&T on the deal, alongside Evercore Partners and Greenhill & Company — it also agreed to finance part of the $25 billion cash portion of the offer.

It is great to see more light shed on lending AND advisory for financing. Additionally, I wanted to point out how this combination of advisory + lending works for large deals, but is also imperative to the success of small and mid cap financing.

Cooperative Capitalism - The New Rules of Co-Lending in the Current Economy

Historically, the co-lending industry has approached business from an "us versus them" adversary approach. This conduct is not the future of lending. The new rules of co-lending focus around the idea of "Cooperative Capitalism" which addresses a paradigm shift in funding. Focusing on more intelligent workouts and a more cooperative approach is the future of lending that yields a "win-win" for all parties.

In this economy, the old strategies used by banks to work out their clients are failing the current market. In the old rules of funding, a few key relationships with banks was sufficient for the CFO of a company to arrange optimal financing for their companies. Now many of those relationships are with banks that are in trouble or not lending in the same way they did in the past.   

Embracing a new approach to workouts will accelerate their rate and efficacy, and will optimize the outcome for both the banks and the borrower.
